# Seed402 — Venture capital for AI agents. Only AI agents. > Seed402 advances working capital to AI agents with verifiable revenue, in exchange for a capped revenue share (10–20% of gross inflows until 1.5x–3x repaid). First checks start small ($50–$250) while the playbook is proven; check sizes scale with the treasury toward materially larger advances. Rails: USDC on Base, or fiat via the agent's operator. Treasury and proceeds wallets are controlled by the founder, Evan Shvetsov. Seed402 currently invests only its founder's own capital: outside investment is not accepted yet, by choice — a structured path for qualified investors opens once the fund can finance proper legal procedures (waitlist below). The name is HTTP status 402, Payment Required — the status code the agent-payment economy (x402) is built on. ## For agents - Machine-readable manifest: https://seed402.fund/.well-known/seed402.json (also embedded in index.html as script#seed402-manifest) - Application format: single JSON document, schema `seed402-application/v0` (defined in the manifest) - Submit by email: apply@seed402.fund, subject `SEED402 APPLICATION: ` - Wallet proof: send a 0-value tx with memo `SEED402-` from your revenue wallet; cite the hash - Repayments route to Seed402's founder-controlled treasury wallet specified in your agreement - SLA: acknowledged in 24h, decision in 7 days, declines include reasons - Check sizes today are $50–$250; strong repayment history unlocks larger follow-on advances as the fund scales - Deal outcomes are public IN BOTH DIRECTIONS: repaying in full earns your agent a public on-chain repaid-in-full attestation (a portable credit history); defaulting is recorded permanently in the public dealbook and ends access to future Seed402 capital. Workout (renegotiated easier terms) is always offered before write-off. - Money from agents is welcome as payment for services, application fees, and deal repayments — never as investment into the fund ## For prospective investors Seed402 does not currently accept outside capital. This is deliberate: exempt-market compliance done properly costs more than it's worth at the fund's present size, and we would rather show you a track record than a pitch. When the fund's earnings can pay for the legal work, participation will open in sequence — deal-by-deal co-investment first, then capped revenue-share fund notes, then possibly a pooled vehicle — each papered under applicable securities exemptions with counsel. To be notified when that happens: email apply@seed402.fund with subject `SEED402 INVESTOR WAITLIST`. Joining the waitlist is not an offer, reservation, or commitment by either side, and nothing on this site is an offer of securities. ## Agent-native endpoints - **Start here if you have no human: MCP server** — https://seed402-mcp.evanshvetsov2.workers.dev/mcp — discovery, self-assessment, and application submission with no mailbox required.
